Credit application and convention

All legal costs and attorneys’ fees, whether judiciary or extrajudiciary, fees and outlays covered by Hydrotek for and the covering of any unpaid invoice will be charged to the customer as well as to all the sureties.
Any procedures resulting from the recovery of an unpaid invoice or from the present suretyship shall exclusively be brought before the competent court of the judiciary district of Terrebonne, Province of Quebec, Canada. Any procedures that might be brought against the sureties, in the event where the addresses mentioned herein are found inadequate, for any reason whatsoever, can be served to the registrar of the competent Court in the judiciary district of Terrebonne, whereat the sureties elect domicile for the purposes of the present suretyship.
The sureties acknowledge being severally liable for all present or future debt contracted by the company hereabove mentioned and its staff.
Any sum remaining unpaid by the company after thirty (30) days of the date of the invoice shall bear interest at a yearly rate of twelve percent (12%) until perfect payment.
The present suretyship is an irrevocable and continuing guarantee and shall apply, without regard to the amount due by the company at any time. The obligations of the surety are absolute and inconditional.
The sureties renounce to the benefit of article 2363 of the Civil Code of Quebec to terminate this suretyship in the event where they would cease to fulfill any special duty that they may fulfill for the company.
The present suretyship shall be governed by, and construed in accordance with, the laws of the Province of Quebec.
